1.1 Sale & Monetary:
1.1.1 The term “Sale” includes software, installation support, demonstration& training.
1.1.2 Advance: 100% advance payment against order. (non-refundable once order confirmed with commencement of work)
1.1.3 Unless otherwise agreed, invoices relating to the assistance shall be payable to GatiSoftTech within thirty (30) days as from the invoicing
date. Any sum not paid by Customer at the date payment is due shall, automatically and without notification, bear interest until paid at a
rate of two (2) times the legal interest rate in force on the date payment is due.
1.1.4 Bills of exchange and cheques shall (subject to these methods of payment being accepted by GatiSoftTech) be credited subject to due payment and only their collection shall constitute payment.
1.1.5 The right to use updates of the Software Products & Services shall be suspended in the event of late payment.
1.2 System Requirements:
1.2.1 OS & Database server licenses are not part of the software.
1.2.2 System requirements for software installation and subsequent smooth operation of the software to be taken care by the client. GatiSoftTech
is not liable to provide the same under any circumstances. Any form of assistance in the form of sales or service for system requirements will be at an additional cost.
1.2.3 To keep username and password secured; is the sole responsibility of the client.
1.3 Change Request Process:
1.3.1 In the requirement collection phase, all the data will be taken & understood, after the agreement being signed, with precise workflow and
the client requirement will be frozen. Any changes requested by client falling outside the scope of frozen requirement will be on chargeable basis. Moreover, all the changes should be provided within stipulated time provided by GatiSofttech.
1.3.2 In the absence of client, another point of contact has to be provided, to developer team of GatiSofttech. If another point of contact is not
being provided within stipulated time, then the changes on follow up stage will be on additional chargeable basis and GatiSofttech will not
be responsible for any delay of the project completion.
1.3.3 Any delay in providing data from client’s end will add on estimated time for project completion, for which Gatisofttech will not be
responsible.
1.3.4 Any changes after the project completion will be on chargeable basis.
1.3.5 In any case, any employee of GatiSoftTech is not responsible for any data loss occurred or data modification in the event of repair and
checking the software after service being provided or after software product installation, even on later stage. It is Customer’s responsibility
to check all their data in the presence of the employee of GatiSoftTech only.
1.3.6 Proof reading after project completion within stipulated time provided by team of GatiSoftTech is solely customer’s responsibility. Any
changes after that will be on additional chargeable basis only.
1.4 AMC:
1.4.1 AMC includes, without limitation: – Software support (corrective maintenance), which consists in the remedy of defects, – Monitoring
(ongoing maintenance) of the standard Software Products & services via e-mail, letter, FTP server or other process chosen by GatiSoftTech. All of these services shall be provided in return for a fixed fee payable to GatiSoftTech. Maintenance services shall be provided after the
software products for which the services are provided have been installed.
1.4.2 AMC does not include any form of training. Where necessary, telephone assistance to formulate error messages during GatiSoftTech’s office hours (from Monday to Saturday, from 10:00 am to 7:00 pm, Indian time). Maximum 12 calls will be attended under AMC.
1.4.3 The AMC shall not apply to any other service requested by the customer and will be paid for separately, as appropriate. The AMC notably
excludes the following: – upgradation of softwares, services relating to the remedy of defects caused by the customer’s incorrect usage of
the Software or change made to the Software by the customer without GatiSoftTech’s permission; services which do not relate directly to
the Software; – the recreation of data files that have been accidentally destroyed; – backup files and software parameters; changes or addons
relating to the Software requested by the customer; – changes or add-ons relating to changes in applicable regulations or changes made to
the physical configuration of the customer’s workstations; – services required on account of a failure to comply with the specifications, procedures, safety and precautionary measures and warnings contained in the Software documentation; – training, installation services, advice and assistance, travel to and services provided on the customer’s premises. Any of the above services requested by the customer shall be invoiced separately.
1.4.4 Next year Domain&Hosting& SSL Certificate Charges will be Extra.
1.4.5 The Terms and Conditions of GatiSoftTech can be upgraded as & when required,at any time.
1.4.6 In case of any disputes, the team of Gatisofttech shall have to be informed at a prior stage, via email. In case of not being informed, then Gatisofttech shall not grant any remuneration for dispute their software products and services.
1.4.7 All the terms & conditions stated above are subject to Surat Jurisdiction.
